Introduction
These Terms and Conditions (“T&C”) govern the use of services provided by MPRS Office Management Services Pvt Ltd (“MPRS”), a company headquartered in India. By engaging our services, whether through direct agreements or via our website, you (“Client”) agree to abide by these T&C. MPRS may work with companies located in the United States, the European Union, and other regions globally.
Scope of Services
MPRS provides Business Process Outsourcing (BPO) services, including but not limited to MEP design services, data entry, document management, and administrative support. Specific details of the services will be outlined in the individual agreements between MPRS and the Client.
Client Responsibilities
Clients are responsible for providing accurate information and any required documentation necessary to execute the agreed-upon services. Any delays in providing such information may impact the delivery timeline and service outcomes.
Service Delivery and Deadlines
MPRS will deliver services as per the agreed deadlines. Any amendments to the timelines will be communicated in advance, subject to the mutual agreement between MPRS and the Client. Service delivery is contingent on receiving timely, accurate input from the Client.
Data Privacy and Confidentiality
MPRS is committed to maintaining the confidentiality of all data received from Clients and will implement industry-standard practices to safeguard such data. Specific provisions regarding data security and privacy are detailed in the Privacy Policy.
Intellectual Property
All work products, including designs, plans, reports, and documents created by MPRS for Clients, remain the intellectual property of MPRS until full payment has been received. Upon full payment, Clients may use the deliverables as outlined in the agreement.
Payments and Fees
Clients agree to pay for the services as per the terms outlined in the invoice or agreement. Payment methods and schedules will be discussed and agreed upon beforehand. MPRS reserves the right to suspend or terminate services in the event of non-payment.
Limitation of Liability
MPRS will not be liable for any indirect, incidental, special, or consequential damages arising out of or related to the services provided, including but not limited to delays, errors, or omissions in the work delivered. The total liability of MPRS in any case shall not exceed the amount paid by the Client for the specific service in question.
Governing Law and Dispute Resolution
These T&C shall be governed by and construed in accordance with the laws of India. Any disputes arising under these T&C shall be subject to arbitration in accordance with Indian law. For international clients, any legal actions will be resolved through mutually agreed arbitration channels.
Changes to the T&C
MPRS reserves the right to update or modify these T&C at any time. Any changes will be communicated to Clients and will apply to new service engagements thereafter.
